The rules for drivers, riders and passengers using GoSupa Ride — including our subscription model: pay a subscription, not a commission.

1. Introduction

Welcome to GoSupa Ride, a digital mobility service operated by PrepEez Tech Ltd (“GoSupa”, “we”, “us” or “our”).

These Terms and Conditions (“Terms”) govern access to and use of GoSupa Ride by passengers, drivers, riders, vehicle owners, fleet operators and other authorised users.

By registering for, accessing or using GoSupa Ride, you acknowledge that you have read, understood and agreed to these Terms and the GoSupa Privacy Statement.

Part AThe GoSupa Model
Clause 2

What GoSupa Ride Does

GoSupa Ride provides a technology platform that may enable users to:

  • request transportation;
  • receive transportation requests;
  • connect passengers with eligible drivers or riders;
  • obtain estimated fares;
  • communicate in connection with a trip;
  • make or receive payments;
  • view trip information;
  • use navigation and location functionality;
  • access driver, rider and passenger safety tools;
  • access eligible GoSupa subscription benefits;
  • receive telecommunications, data or other bundled benefits where offered;
  • access eligible insurance or protection products where expressly included; and
  • access other GoSupa services introduced from time to time.

GoSupa may operate the technology platform itself and may use approved payment, telecommunications, insurance, mapping, identity-verification and other service partners.

Clause 3

GoSupa Is a Subscription-Based Ride-Hailing Platform

This is a fundamental commercial term of GoSupa Ride.

GoSupa does not charge drivers a percentage commission on each ride.

GoSupa Ride is principally monetised through driver/rider subscription packages rather than through the conventional percentage commission charged on individual trips.

A participating driver or rider pays the applicable GoSupa subscription charge for access to the relevant GoSupa services and benefits.

Except for separately disclosed amounts such as payment-processing charges, statutory deductions, taxes, refunds, insurance charges or other authorised charges:

The driver keeps the fare earned from the ride.

For illustration only: If a passenger pays GHS 50 (or the equivalent in local currency) for a completed ride, GoSupa does not automatically take 10%, 15%, 20%, 25% or another percentage of that fare as a ride commission. The driver's GoSupa platform charge is instead based on the applicable subscription package.

Clause 4

No Commission Sharing

There is no commission-sharing arrangement between GoSupa and a Driver based on the value of individual trips unless GoSupa and that Driver or fleet have entered into a separate written commercial agreement expressly providing otherwise.

The standard GoSupa Ride model is:

GoSupa's subscription fee is not a percentage commission on passenger fares.

Part BDriver/Rider Terms
Clause 5

Driver Subscription

Drivers and riders may be required to maintain an active GoSupa subscription before receiving ride requests.

GoSupa may establish packages for categories including:

  • motorcycles/bikes;
  • tricycles;
  • taxis/cabs;
  • private-hire cars;
  • delivery vehicles;
  • fleet vehicles; and
  • other approved mobility categories.

The applicable subscription price, duration and included benefits will be displayed before purchase or renewal.

Clause 6

Subscription Benefits

Depending upon the package selected, benefits may include:

  • access to passenger requests;
  • GoSupa Ride platform access;
  • GoSupa Services access;
  • telecommunications minutes;
  • mobile data;
  • GoSupa communication services;
  • navigation functionality;
  • driver dashboard;
  • earnings records;
  • payment services;
  • safety functionality;
  • eligible insurance/protection benefits;
  • promotions;
  • discounts;
  • marketplace benefits;
  • rewards;
  • training;
  • driver support; and
  • other GoSupa benefits.

Benefits may vary by vehicle category, package, telecommunications network, insurer, location and promotional period.

Clause 7

Subscription Payment and Renewal

Where a Driver selects automatic renewal, the Driver authorises GoSupa or its approved payment provider to collect the applicable subscription charge from the designated wallet or payment method.

Where there are insufficient funds, GoSupa may retry the authorised subscription payment.

If the subscription expires, access to new ride requests or associated subscription benefits may be restricted until renewal.

Expiration of a subscription does not transfer previously earned ride income to GoSupa.

Clause 8

Changes to Subscription Prices

GoSupa may revise subscription prices, packages or included benefits.

Where a material change affects an existing recurring subscription, reasonable notice will be provided through the App, SMS, email or another appropriate communication channel before the new charge applies, subject to applicable law.

Part CDriver Eligibility
Clause 9

Driver Requirements

A Driver must satisfy all applicable legal and regulatory requirements for the relevant category of transportation.

Depending on the vehicle and service, GoSupa may require:

  • valid identification;
  • national identity card or other acceptable identification recognised in the Country of Operation;
  • valid driver's or commercial rider's licence;
  • appropriate licence class;
  • vehicle registration;
  • valid roadworthiness documentation;
  • legally required motor insurance;
  • commercial-use authorisation where required;
  • vehicle ownership or lawful authority to use the vehicle;
  • profile photograph;
  • telephone number;
  • payment details;
  • background or identity verification;
  • emergency contact information; and
  • any additional document required by law or a competent authority.

Drivers are responsible for keeping these documents valid and current. GoSupa may periodically re-verify them.

Clause 10

Motorcycles and Tricycles

Where a Driver operates a motorcycle, tricycle or quadricycle for fare-paying passenger services, the Driver must satisfy all applicable licensing, registration, roadworthiness, safety and operational requirements.

⚠ Legal compliance

No GoSupa subscription authorises a person to operate contrary to the laws of the Country of Operation.

The road traffic laws and regulations of the Country of Operation may include specific requirements concerning commercial motorcycle, tricycle and quadricycle operations.

Clause 11

Vehicle Condition

Drivers must ensure that their vehicles are:

  • legally registered;
  • roadworthy;
  • appropriately insured;
  • reasonably clean;
  • mechanically safe;
  • equipped as required by law;
  • maintained according to applicable standards; and
  • suitable for the service category selected.

The relevant vehicle licensing authority in the Country of Operation may require vehicle examination and verification for roadworthiness certification.

GoSupa may suspend a vehicle where there are reasonable grounds to believe it is unsafe or non-compliant.

Part DPassenger Terms
Clause 12

Passenger Account

Passengers must provide accurate account information and maintain the security of their account.

A Passenger must not
  • impersonate another person;
  • create fraudulent accounts;
  • use stolen payment credentials;
  • threaten or assault a Driver;
  • damage a vehicle;
  • carry prohibited goods;
  • request unlawful transportation;
  • intentionally provide a false pickup location;
  • deliberately avoid payment; or
  • misuse safety or complaint functions.
Clause 13

Requesting a Ride

A Passenger may enter a pickup point and destination and request an eligible vehicle.

The App may display:

  • estimated pickup time;
  • estimated fare or applicable pricing;
  • Driver name;
  • Driver photograph;
  • vehicle type;
  • registration information;
  • Driver rating;
  • approximate location; and
  • other safety or trip information.

Availability is not guaranteed.

Part EFares and Payments
Clause 14

Fare Calculation

Fares may be calculated using factors including:

  • distance;
  • estimated travel time;
  • actual travel time;
  • vehicle category;
  • pickup and destination;
  • traffic;
  • waiting time;
  • tolls;
  • applicable taxes;
  • promotional discounts; and
  • other disclosed pricing factors.

Where practicable, the Passenger will be shown an estimated or applicable price before confirming a ride.

Clause 15

Driver Fare Entitlement

The fare attributable to the transportation service is payable to the Driver, subject to separately disclosed:

  • statutory deductions;
  • payment-processing charges;
  • refunds;
  • chargebacks;
  • taxes;
  • toll adjustments;
  • authorised insurance charges; or
  • other applicable adjustments.

GoSupa's standard Driver subscription is not calculated as a percentage of the fare.

Clause 16

Payment Methods

GoSupa may support payment through:

  • Mobile Money;
  • GoSupa wallet or supported wallet;
  • debit or credit cards;
  • bank payment;
  • Pay4Me;
  • approved digital payment partners;
  • cash, where enabled; and
  • other authorised payment methods.

Payment processing may be provided by third-party financial institutions or payment service providers.

Clause 17

Pay4Me

Where enabled, another person may pay for a Passenger's trip through GoSupa Pay4Me.

The person paying may receive sufficient transaction information to identify and approve the requested payment.

The person paying for a ride does not automatically obtain access to unrelated private information concerning the Passenger.

Clause 18

Cancellations

GoSupa may apply a disclosed cancellation or no-show charge where a Passenger cancels after a Driver has materially committed time or resources to the request.

Any applicable cancellation charge should be displayed or otherwise communicated through the platform.

Drivers may also cancel rides for legitimate safety, passenger conduct, vehicle or operational reasons.

Repeated abusive cancellations may result in account restrictions.

Clause 19

Driver Responsibilities

Drivers must:

  • comply with road traffic laws;
  • drive safely;
  • comply with speed limits;
  • refrain from dangerous or reckless driving;
  • not operate while impaired by alcohol or drugs;
  • treat passengers respectfully;
  • avoid harassment and discrimination prohibited by law;
  • protect passenger privacy;
  • not intentionally overcharge;
  • follow applicable safety requirements;
  • maintain legally required insurance;
  • report serious accidents through the appropriate channels; and
  • cooperate with lawful investigations.
Clause 20

Zero Tolerance for Serious Misconduct

GoSupa may immediately restrict or suspend an account where reasonably necessary to address allegations involving:

  • sexual assault;
  • physical assault;
  • robbery;
  • kidnapping;
  • human trafficking;
  • dangerous driving;
  • fraudulent identity;
  • falsified vehicle documentation;
  • deliberate fare fraud;
  • use of the platform for criminal activity; or
  • credible threats to public safety.

Suspension during an investigation does not itself constitute a finding that the allegation is true.

Part GPassenger Conduct
Clause 21

Passenger Responsibilities

Passengers must:

  • treat Drivers respectfully;
  • use appropriate pickup locations;
  • wear seat belts where provided and required;
  • use required protective equipment for applicable motorcycle services;
  • not interfere with safe driving;
  • not carry unlawful items;
  • not threaten, assault or harass Drivers;
  • pay applicable fares;
  • supervise children where required; and
  • comply with lawful safety instructions.
Part HSafety
Clause 22

Safety Features

GoSupa may provide features such as:

  • Driver identity verification;
  • OTP trip verification;
  • trip sharing;
  • emergency contacts;
  • GPS trip records;
  • vehicle identification;
  • Driver ratings;
  • Passenger ratings;
  • incident reporting;
  • support channels; and
  • other safety technologies.

These features supplement rather than replace personal judgment, emergency services and regulatory authorities.

Clause 23

Emergencies

⚠ In an emergency

Where there is an immediate threat to life or safety, users should contact the appropriate emergency or law-enforcement service. GoSupa support should not be treated as a replacement for police, ambulance, fire or other emergency services.

Part IInsurance and Protection
Clause 24

Vehicle Insurance

Drivers are responsible for maintaining all insurance required by law for their vehicle and its commercial use.

Where GoSupa includes additional insurance or protection in a subscription package, that benefit is separate from the Driver's underlying legal obligation to maintain required motor insurance.

Clause 25

Optional GoSupa Protection Benefits

Some GoSupa Ride subscriptions may include or facilitate insurance/protection benefits from an authorised insurer.

Where provided:

  • the insurer remains responsible for underwriting;
  • eligibility is subject to the insurer's rules;
  • coverage limits apply;
  • exclusions may apply;
  • claims must satisfy the policy conditions; and
  • payment of a GoSupa subscription does not guarantee approval of an insurance claim.

The relevant policy wording or benefit summary should be made available to the subscriber.

Part JRatings and Reviews
Clause 26

Ratings

Drivers and Passengers may be permitted to rate one another.

Users must not use ratings or reviews for harassment, extortion, discrimination or knowingly false accusations.

GoSupa may investigate patterns indicating manipulation or abuse.

Part KIndependent Service Providers
Clause 27

Driver Status

Unless a separate written arrangement or applicable law provides otherwise, Drivers use GoSupa as independent providers of transportation services.

Payment of a subscription does not, by itself, create:

  • an employment relationship;
  • partnership;
  • joint venture;
  • agency relationship; or
  • fare-commission relationship.

Nothing in these Terms overrides any status or rights that applicable law independently confers.

Clause 28

Driver Control

Subject to platform rules, subscription conditions and applicable law, Drivers generally determine when they wish to make themselves available on GoSupa.

GoSupa does not guarantee any minimum number of trips, passengers, earnings or hours of work.

Part LTelecommunications and Data Benefits
Clause 29

Data and Airtime

Some subscriptions may include mobile data, airtime or telecommunications benefits.

Such benefits may depend upon:

  • participating telecommunications networks;
  • eligible SIM registration;
  • network coverage;
  • package validity;
  • technical availability; and
  • partner terms.

GoSupa does not guarantee uninterrupted telecommunications service where the underlying service is controlled by a telecommunications provider.

Part MPromotions and Discounts
Clause 30

Promotions

GoSupa may offer:

  • ride discounts;
  • subscription discounts;
  • loyalty rewards;
  • referral benefits;
  • shopping discounts;
  • data gifts;
  • sponsored rides;
  • vouchers; or
  • promotional credits.

Promotions may have separate eligibility, expiry and usage conditions.

Promotional value may not be redeemable for cash unless expressly stated.

Part NAccount Security
Clause 31

User Responsibility

Users are responsible for protecting:

  • passwords;
  • OTPs;
  • PINs;
  • devices;
  • wallet credentials; and
  • account access.

Users should immediately report suspected unauthorised account use.

GoSupa will never require a user to disclose a password to another Driver or Passenger.

Part OFraud
Clause 32

Fraudulent Activity

Prohibited conduct includes
  • fake rides;
  • GPS manipulation;
  • collusive trip creation;
  • fake referrals;
  • account sharing intended to bypass verification;
  • falsified identity documents;
  • false insurance documents;
  • payment fraud;
  • promotion abuse;
  • intentional chargeback abuse; and
  • manipulating the platform to obtain benefits dishonestly.

GoSupa may withhold improperly obtained promotional benefits and take proportionate action against affected accounts, subject to applicable law.

Part PSuspension and Termination
Clause 33

Account Restrictions

GoSupa may temporarily restrict, suspend or terminate access where reasonably justified by:

  • serious safety concerns;
  • fraud;
  • invalid licence;
  • expired roadworthiness;
  • invalid insurance;
  • identity concerns;
  • repeated non-payment of subscriptions;
  • serious breach of these Terms;
  • regulatory instruction;
  • unlawful conduct; or
  • material risk to users or the platform.

Where appropriate and lawful, users may be given information about the reason and an opportunity to request review.

Clause 34

User Termination

A user may stop using GoSupa at any time and may request account closure, subject to outstanding transactions, disputes, legal retention requirements and other lawful obligations.

Part QIntellectual Property
Clause 35

GoSupa Property

GoSupa's software, trademarks, designs, databases, branding, interfaces and other intellectual property remain the property of PrepEez Tech Ltd or its licensors.

Users receive only the limited right to use the service in accordance with these Terms.

Part RPlatform Availability
Clause 36

Service Interruptions

GoSupa aims to maintain reliable service but cannot guarantee uninterrupted availability.

Service may be affected by:

  • telecommunications outages;
  • internet disruption;
  • GPS failures;
  • maintenance;
  • payment-system failures;
  • third-party service interruptions;
  • emergencies;
  • government action; or
  • events beyond reasonable control.
Part SLiability
Clause 37

Responsibility for Transportation

Drivers are responsible for safely operating their vehicles and complying with applicable transport laws.

GoSupa remains responsible for obligations imposed on it by applicable law as the operator/provider of the technology service.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

Clause 38

Limitation of Liability

To the extent permitted by applicable law, GoSupa will not be responsible for indirect, incidental or consequential losses arising solely from matters outside its reasonable control.

This limitation does not apply where liability cannot legally be excluded or limited.

Part TIndemnity
Clause 39

User Responsibility for Breach

To the extent permitted by law, a user may be responsible for losses reasonably arising from that user's unlawful conduct, fraud, deliberate misuse of the platform or material breach of these Terms.

Nothing in this section removes statutory consumer or other rights.

Part UElectronic Agreement
Clause 40

Digital Acceptance

Users may accept these Terms electronically by selecting an acceptance box, pressing an acceptance button, registering for the service or otherwise providing legally valid electronic acceptance.

The electronic transactions laws of the Country of Operation may provide a framework for electronic records, automated transactions and the formation and validity of agreements electronically.

GoSupa may retain an electronic record of the version accepted and the time and account associated with acceptance.

Part VFares, Payments, Subscriptions and Driver Earnings
Clause 5.1

GoSupa Subscription Model

GoSupa Ride operates primarily as a subscription-based digital mobility platform.

Drivers and other mobility service providers may be required to maintain an active GoSupa subscription to receive ride requests and access specified platform services.

GoSupa does not operate a percentage commission-sharing model with Drivers for completed rides.

Instead, the Driver pays the applicable daily subscription fee associated with the Driver's vehicle or service category.

The applicable subscription price shall be displayed within the GoSupa platform before activation, purchase or renewal.

Clause 5.2

No Commission on Driver Ride Earnings

Unless a separate service is expressly identified and accepted by the Driver, GoSupa shall not deduct a percentage of the Driver's passenger fare as GoSupa's ride-hailing commission.

Accordingly:

Passenger Fare=Driver's Ride Revenue

subject to any separately disclosed:

  • a. statutory taxes or levies;
  • b. payment-processing charges;
  • c. refunds or reversals;
  • d. insurance or protection charges included in a selected package;
  • e. legally required deductions; or
  • f. other charges specifically disclosed and accepted by the Driver.

The GoSupa daily subscription is separate from the fare charged for an individual trip.

Clause 5.3

Driver Subscription Categories

GoSupa may establish different subscription packages according to vehicle and service category, including:

  • Bike / Motorcycle
  • Tricycle
  • Cab / Car
  • Delivery vehicles
  • Logistics vehicles
  • Other mobility categories introduced by GoSupa

Each package may have different subscription prices, benefits, insurance or protection components, telecommunications benefits and eligibility requirements.

The applicable package and price shall be shown to the Driver before subscription.

Clause 5.4

Subscription Benefits

Depending upon the package selected, a GoSupa Ride subscription may provide access to some or all of the following:

  • GoSupa Ride customer requests;
  • GoSupa Services;
  • driver dashboard and digital operating tools;
  • navigation and location services;
  • customer communication facilities;
  • payment services;
  • data or telecommunications benefits;
  • driver or rider protection benefits;
  • insurance benefits where applicable;
  • emergency and safety features;
  • promotional opportunities;
  • GoSupa Marketplace opportunities;
  • delivery and logistics opportunities;
  • loyalty benefits;
  • training;
  • financial-service opportunities where separately eligible;
  • customer-support services; and
  • additional GoSupa ecosystem services.

Benefits may vary according to subscription package, location, vehicle category, telecommunications provider and participating third-party service provider.

Clause 5.5

Subscription Is Not a Share of Fares

The Driver acknowledges that the GoSupa subscription is a charge for access to GoSupa's platform and associated services.

It is not a percentage share of passenger fares.

For illustration only: Where a passenger fare is GHS 100 (or the equivalent in local currency), GoSupa does not automatically take 10%, 15%, 20%, 25% or another percentage of that fare as its ride-hailing commission.

The Driver remains responsible for paying the applicable GoSupa subscription independently of the value or number of rides completed during the subscription period.

Clause 5.6

Subscription Payment

Subscription payments may be collected through payment methods supported by GoSupa, including:

  • mobile money;
  • GoSupa wallet or payment services;
  • bank account;
  • debit or credit card;
  • authorised payment partners; or
  • other approved payment channels.

The Driver authorises GoSupa and its authorised payment partners to process subscription payments initiated or authorised through the platform.

Clause 5.7

Daily Subscription and Renewal

Where a Driver selects a daily subscription, access to applicable GoSupa Ride services shall generally remain active for the subscription period specified on the platform.

Where the Driver has expressly activated automatic renewal, GoSupa may attempt to renew the subscription using the Driver's designated payment method.

The Driver may cancel automatic renewal in accordance with the cancellation options provided through the platform, subject to any subscription already activated.

GoSupa shall clearly display applicable subscription charges before the Driver confirms a purchase or recurring payment mandate.

Clause 5.8

Failed Subscription Payment

Where a subscription payment cannot be successfully processed, GoSupa may:

  • a. notify the Driver;
  • b. request another payment method;
  • c. suspend access to new ride requests;
  • d. restrict subscription benefits; or
  • e. restore access after successful payment.

Failure to renew a subscription does not, by itself, transfer ownership of previously earned ride income to GoSupa.

Clause 5.9

Passenger Fares

GoSupa may provide technology for calculating, recommending, displaying or facilitating passenger fares.

Fare calculations may consider factors including:

  • distance;
  • estimated journey time;
  • vehicle category;
  • location;
  • traffic conditions;
  • demand;
  • waiting time;
  • tolls;
  • authorised surcharges; and
  • applicable promotions.

The estimated fare shall, where practicable, be displayed before a passenger confirms a ride.

Any material difference between an estimated and final fare should be identifiable through the platform where the final amount can reasonably be calculated.

Clause 5.10

Cash and Electronic Payments

GoSupa may permit rides to be paid by cash, electronic payment or other approved methods.

Where a passenger pays the Driver directly in cash, the Driver is responsible for confirming receipt.

Where payment is processed electronically through GoSupa or an authorised payment partner, the funds may pass through regulated payment infrastructure before settlement.

The use of a payment facility does not convert GoSupa's subscription model into a percentage commission arrangement.

Clause 5.11

Electronic Settlement

Where GoSupa facilitates electronic collection of passenger fares, the Driver authorises the processing and settlement of the relevant transaction.

Settlement may be subject to:

  • payment network processing times;
  • mobile money processing;
  • bank processing;
  • fraud screening;
  • transaction reversals;
  • regulatory requirements;
  • legally required deductions; and
  • separately disclosed payment-processing charges.

GoSupa shall maintain appropriate transaction records for payments processed through its systems.

Clause 5.12

Tips

Where tipping is available, a passenger may voluntarily provide a tip to the Driver.

GoSupa shall not treat a voluntary passenger tip as part of GoSupa's daily subscription revenue.

Any applicable payment-processing or statutory treatment shall be disclosed or applied as required.

Clause 5.13

Promotions and Passenger Discounts

GoSupa may offer passenger discounts, promotional fares, loyalty rewards, sponsored rides, coupons or other incentives.

Where GoSupa funds a promotion, the platform shall determine how the promotion is applied without converting the Driver's relationship with GoSupa into a percentage commission arrangement.

Where a promotion affects the amount payable to the Driver, the applicable conditions shall be disclosed to the Driver before participation where reasonably practicable.

Clause 5.14

Cancellation and No-Show Charges

GoSupa may establish reasonable cancellation or no-show charges where a Driver has accepted and travelled toward a passenger pickup point but the passenger subsequently cancels or fails to appear.

The applicable charge and circumstances shall be displayed through the platform.

GoSupa may change cancellation policies to address abuse, operational costs, safety or service quality.

Clause 5.15

Tolls and Additional Trip Costs

Where a journey requires payment of an authorised road toll, parking charge or other unavoidable trip-specific charge, the platform may include or separately identify that amount.

Drivers must not impose undisclosed or unauthorised charges on passengers.

Clause 5.16

Driver Pricing Conduct

A Driver shall not
  • manipulate the GoSupa platform to artificially increase a fare;
  • deliberately extend a journey without reasonable justification;
  • demand unauthorised additional payments;
  • misrepresent tolls or other trip expenses;
  • collude with passengers or other Drivers to manipulate fares, promotions or incentives;
  • create false trips;
  • process fraudulent transactions; or
  • use another person's Driver account to receive payments.

Such conduct may result in investigation, temporary restriction, suspension or termination.

Clause 5.17

Passenger Payment Obligations

Passengers are responsible for paying legitimate charges associated with rides they request and complete.

Passengers shall not
  • deliberately avoid payment;
  • reverse legitimate transactions fraudulently;
  • misuse promotions;
  • create fraudulent accounts;
  • collude with Drivers to create fictitious rides; or
  • otherwise manipulate the payment system.

GoSupa may restrict or suspend accounts reasonably suspected of fraudulent payment activity while the matter is investigated.

Clause 5.18

Taxes

Drivers remain responsible for understanding and complying with tax obligations that legally apply to income earned from their transportation activities.

GoSupa may collect, report, withhold or remit amounts where required by applicable law.

Nothing in these Terms constitutes individual tax advice.

Clause 5.19

Transaction Records

GoSupa may maintain electronic records relating to:

  • subscriptions;
  • rides;
  • passenger fares;
  • electronic payments;
  • refunds;
  • promotions;
  • payment disputes;
  • Driver settlements; and
  • other platform transactions.

Such records may be used for accounting, reconciliation, customer support, fraud prevention, regulatory compliance and dispute resolution, subject to GoSupa's Privacy Statement and applicable law.

Clause 5.20

Payment Disputes

A Driver or passenger who believes that a fare, subscription payment, settlement, refund or other transaction is incorrect should report the matter through the designated GoSupa support channel.

GoSupa may investigate the transaction using available platform records.

Where a bank, mobile money operator, payment service provider or other third party controls part of the transaction, resolution may also be subject to that provider's procedures and applicable law.

Clause 5.21

Refunds

Subscription fees that have already activated access to GoSupa services may be non-refundable except where:

  • a. required by applicable law;
  • b. the payment was duplicated;
  • c. the payment resulted from a verified technical error;
  • d. the service could not be provided due to a GoSupa system failure; or
  • e. GoSupa otherwise approves a refund.

Refund eligibility may depend on the particular subscription or service involved.

Clause 5.22

Insurance or Protection Component

Where a GoSupa Ride package includes an insurance or protection component, the relevant portion of the subscription may be allocated to the participating insurer or protection provider.

Insurance coverage is provided under the policy or product terms issued or approved by the relevant insurer and not merely by virtue of these GoSupa Terms.

Eligibility, exclusions, limits, waiting periods, claims requirements and benefits shall be governed by the applicable insurance or protection documentation.

GoSupa shall not represent a benefit as insurance unless it is provided in accordance with applicable regulatory requirements.

Clause 5.23

Driver Earnings Dashboard

Where available, GoSupa may provide Drivers with a dashboard displaying information such as:

Electronic Payments
Subscription Status
Next Subscription Renewal
Insurance/Protection Status
Bonuses or Promotional Benefits

and other relevant transaction information.

The dashboard is intended to provide Drivers with greater visibility over their GoSupa activity.

Clause 5.24

Core GoSupa Ride Commercial Principle

The commercial principle governing the Driver platform relationship is:

Pay a subscription. Not a commission.

A Driver pays the applicable GoSupa subscription for access to the GoSupa Ride platform and included services.

GoSupa does not take a percentage commission from every ride merely because the ride was obtained through GoSupa.

This principle does not prevent GoSupa or third-party providers from charging separately disclosed fees for optional or additional services, payment processing, insurance, telecommunications, financing or other products where the Driver has been informed of and, where required, agreed to those charges.

Clause 5.25

Regulatory Compliance

The operation of GoSupa Ride, participating Drivers and vehicles remains subject to the applicable laws, regulations, licensing requirements and directives issued by competent authorities in the Country of Operation.

Drivers are responsible for maintaining the licences, permits, vehicle documentation, insurance, roadworthiness and other approvals legally required for the transportation service and vehicle category they operate.

Where applicable, GoSupa may request, verify, retain or periodically revalidate such documentation as a condition of access to the platform.

GoSupa may modify operational requirements where reasonably necessary to comply with changes in applicable law or regulatory requirements.

These Passenger Terms and Conditions (“Terms”) govern your access to and use of GoSupa Ride through the GoSupa platform.

By creating an account, requesting a ride or using GoSupa Ride, you agree to these Terms and the GoSupa Privacy Statement.

Part IGeneral Terms
Clause 1

GoSupa Ride

GoSupa Ride is a technology-enabled mobility service available through the GoSupa platform.

The platform enables passengers to request transportation services from eligible drivers, riders and other mobility service providers using approved vehicle categories.

Available categories may include:

  • Cab/Car;
  • Motorcycle/Bike;
  • Tricycle;
  • delivery and logistics services; and
  • other mobility categories introduced by GoSupa.

Availability may vary by location.

Clause 2

Platform Role

GoSupa provides technology for connecting passengers with eligible mobility service providers.

Depending on the particular service, GoSupa may also facilitate:

  • ride requests;
  • driver matching;
  • location services;
  • estimated fares;
  • communications;
  • electronic payments;
  • safety tools;
  • customer support;
  • promotions;
  • loyalty benefits; and
  • other mobility-related services.

Nothing in these Terms permits a Driver to represent himself or herself as an employee of GoSupa unless such a relationship has separately been established in writing.

Clause 3

Eligibility

A Passenger must have the legal capacity to enter into an agreement.

A minor may use GoSupa Ride only where permitted by applicable law and subject to any parental, guardian or age requirements established by GoSupa.

GoSupa may introduce specific services intended for children, students, families, elderly passengers or persons requiring assistance under additional service terms.

Part IIPassenger Accounts
Clause 4

Account Registration

Passengers may be required to register using information such as:

  • name;
  • mobile telephone number;
  • email address;
  • profile photograph;
  • payment method; and
  • other information reasonably required to provide or secure the service.

Passengers must provide accurate information.

Clause 5

OTP and Account Security

GoSupa may verify a Passenger using an OTP, device authentication, PIN or another security method.

Passengers must not knowingly allow unauthorised persons to use their accounts.

A Passenger should immediately report suspected unauthorised access.

Clause 6

One Person, One Identity

Passengers must not create accounts for fraudulent, abusive or deceptive purposes.

GoSupa may restrict duplicate or suspicious accounts where reasonably necessary for security or fraud prevention.

Part IIIRequesting a Ride
Clause 7

Ride Request

A Passenger may enter or select:

  1. 01Pickup Location

  5. 05Confirm Ride

The platform may then identify an available Driver.

Clause 8

Driver Information

Where appropriate, the Passenger may receive information including:

  • Driver's first name or displayed identity;
  • photograph;
  • vehicle type;
  • vehicle registration number;
  • rating or service information;
  • estimated arrival time; and
  • other safety information.

Passengers should, where practicable, verify the vehicle and Driver information displayed in the app before entering the vehicle.

Clause 9

Pickup Location

Passengers should provide a reasonably accurate and lawful pickup point.

Passengers should not deliberately request pickup from a location where stopping or boarding would create an unreasonable safety risk or breach applicable traffic rules.

Clause 10

Destination Changes

A Passenger may request a destination change where the platform permits it.

A destination change may affect:

  • distance;
  • journey time;
  • final fare;
  • tolls; and
  • other trip-related charges.

The Driver is not required to undertake an unlawful or objectively unsafe route.

Part IVFares and Payments
Clause 11

Fare Display

GoSupa may provide an estimated or calculated fare before a ride is confirmed.

The fare may consider:

  • distance;
  • estimated journey time;
  • vehicle category;
  • waiting time;
  • traffic conditions;
  • applicable tolls;
  • demand;
  • authorised charges; and
  • promotions or discounts.
Clause 12

Final Fare

Where a fare is estimated before a journey, the final amount may change where the actual journey materially differs from the original request.

Where practicable, relevant adjustments will be reflected in the trip record.

Clause 13

Payment Methods

Passengers may be able to pay through:

  • Mobile Money;
  • GoSupa-supported payment facilities;
  • debit or credit card;
  • bank payment;
  • cash;
  • authorised third-party payment services;
  • Pay4Me; or
  • another payment method approved by GoSupa.

Payment options may vary by service and location.

Clause 14

Driver Subscription Model

GoSupa Ride operates a subscription-based Driver platform.

GoSupa does not ordinarily take a percentage commission from a Driver's fare merely because a ride was obtained through GoSupa.

Drivers instead pay the applicable GoSupa subscription for access to the platform and included services.

This commercial arrangement does not change the Passenger's obligation to pay the applicable fare for a completed journey.

Clause 15

Pay4Me

Where available, a Passenger may request another person to pay for a journey through GoSupa Pay4Me.

The paying person must authorise the transaction before the payment is treated as confirmed.

A Pay4Me transaction may be subject to separate payment terms.

Clause 16

Promotions and Discounts

GoSupa may provide:

  • discount codes;
  • sponsored rides;
  • loyalty rewards;
  • shopping benefits;
  • subscription-linked benefits;
  • institutional benefits; or
  • other promotional offers.

Each promotion may have separate eligibility requirements, validity periods and conditions.

Clause 17

Tips

Passengers may voluntarily tip Drivers where the service is available.

A tip is voluntary and must not be demanded as a condition for completing a ride.

Part VCancellations, Waiting and No-Shows
Clause 18

Passenger Cancellation

A Passenger may cancel a ride before completion.

A cancellation charge may apply where, for example:

  • a Driver has already travelled substantially toward the pickup point;
  • the Passenger cancels after an applicable grace period; or
  • repeated cancellations constitute misuse.

Any applicable cancellation charge should be displayed or otherwise communicated through the platform.

Clause 19

Driver Cancellation

A Driver may cancel for reasonable circumstances including:

  • safety concerns;
  • inability to locate the Passenger;
  • unlawful requests;
  • vehicle problems;
  • emergencies; or
  • other legitimate operational reasons.

GoSupa may review repeated Driver cancellations.

Clause 20

Passenger No-Show

Where a Driver reaches the pickup location and the Passenger does not arrive within the applicable waiting period, the Driver may cancel the request.

A disclosed no-show or waiting charge may apply.

Part VIPassenger Safety
Clause 21

Safety First

Passengers must cooperate with reasonable safety requirements.

Passengers must not request a Driver to
  • speed;
  • ignore traffic signals;
  • drive dangerously;
  • overload the vehicle;
  • use an unlawful route;
  • carry prohibited goods; or
  • otherwise breach applicable road-safety requirements.
Clause 22

Seat Belts and Protective Equipment

Passengers must use seat belts where fitted and legally required.

Passengers using motorcycle, tricycle or similar services must comply with applicable protective-equipment and safety requirements.

GoSupa may refuse or restrict a ride where legally required safety equipment is unavailable.

Clause 23

Verify Your Ride

Passengers are encouraged to verify, where available:

before commencing a journey.

Clause 24

Trip Sharing

GoSupa may provide a feature allowing a Passenger to share trip details or live trip information with a trusted person.

Shared information may include:

  • Driver details;
  • vehicle details;
  • pickup;
  • destination;
  • trip progress; and
  • estimated arrival time.
Clause 25

Emergency Assistance

GoSupa may provide emergency or safety-assistance features.

In an immediate emergency, users should contact the appropriate emergency or law-enforcement service directly where circumstances require immediate intervention.

Clause 26

Accident or Incident

A Passenger involved in an accident, safety incident or serious dispute should, where reasonably possible:

  • 1. move to a safe location;
  • 2. obtain appropriate emergency assistance;
  • 3. report the incident through GoSupa;
  • 4. provide accurate trip information; and
  • 5. cooperate with lawful investigations.

GoSupa may preserve relevant trip information in accordance with applicable law and its Privacy Statement.

Part VIIPassenger Conduct
Clause 27

Respectful Conduct

Passengers must treat Drivers and other users respectfully.

  • physical violence;
  • threats;
  • harassment;
  • sexual harassment;
  • discriminatory abuse;
  • intentional property damage;
  • theft;
  • intimidation;
  • deliberate fare evasion;
  • fraudulent payment activity; and
  • other unlawful conduct.
Clause 28

No Weapons or Dangerous Items

Passengers must not use GoSupa Ride to unlawfully transport weapons, explosives, hazardous substances or prohibited items.

Clause 29

Alcohol and Intoxication

A Driver may decline or terminate a journey where a Passenger's behaviour creates a genuine safety risk.

A Driver must not discriminate against a Passenger merely because the Passenger requires reasonable assistance.

Clause 30

Vehicle Cleanliness and Damage

Passengers should take reasonable care of a Driver's vehicle.

Where a Passenger deliberately or negligently causes significant damage or extraordinary cleaning requirements, the Passenger may be responsible for reasonable documented costs, subject to investigation.

Clause 31

Fraud and Platform Manipulation

Passengers must not
  • create fake rides;
  • collude with Drivers to generate fraudulent trips;
  • manipulate promotional benefits;
  • abuse refunds;
  • knowingly use stolen payment methods;
  • falsify location information for financial gain; or
  • interfere with the operation of the GoSupa platform.
Part VIIIDriver and Passenger Relationship
Clause 32

Passenger Choice

A Passenger may select among available service categories displayed by GoSupa.

The availability of a particular Driver, vehicle or service is not guaranteed.

Clause 33

Driver Compliance

Drivers are expected to maintain applicable licences, vehicle documentation and other requirements imposed by law or GoSupa.

GoSupa may verify Driver documentation and restrict access where applicable requirements are not satisfied.

Clause 34

Ratings and Feedback

Passengers may be permitted to rate Drivers and provide feedback.

Feedback should be truthful and related to the actual service received.

GoSupa may also permit Drivers to provide safety or conduct feedback concerning Passengers.

Part IXPersonal Information and Location Data
Clause 35

Personal Data

GoSupa may process information reasonably required to operate and secure GoSupa Ride, including:

  • account information;
  • contact information;
  • device information;
  • location information;
  • ride history;
  • payment information;
  • communications;
  • safety reports;
  • support interactions; and
  • fraud-prevention information.

Such processing shall be subject to the GoSupa Privacy Statement and applicable law.

Clause 36

Location Information

Location information is fundamental to many ride-hailing functions.

Subject to device permissions and applicable law, GoSupa may use location information to:

  • identify pickup points;
  • match Drivers and Passengers;
  • calculate routes;
  • estimate fares;
  • facilitate navigation;
  • provide safety functionality;
  • investigate incidents;
  • prevent fraud; and
  • improve mobility services.
Clause 37

Driver-Passenger Information Sharing

GoSupa may provide limited information between a Passenger and Driver where necessary to perform the requested ride.

Neither party may misuse information obtained through GoSupa for harassment, unauthorised marketing or another unlawful purpose.

Part XService Availability
Clause 38

Availability

GoSupa does not guarantee that a Driver will always be available.

Availability may depend upon:

  • location;
  • time;
  • Driver supply;
  • network connectivity;
  • vehicle category;
  • weather;
  • road conditions;
  • regulatory restrictions; and
  • other operational circumstances.
Clause 39

Telecommunications

GoSupa depends partly upon mobile networks, GPS, internet connectivity and third-party infrastructure.

Temporary interruptions may therefore occur.

Part XIComplaints and Disputes
Clause 40

Passenger Support

Passengers may report the following through GoSupa's designated support channels:

  • fare disputes;
  • lost property;
  • Driver conduct;
  • safety concerns;
  • payment issues;
  • accidents;
  • unauthorised transactions; and
  • other service concerns.
Clause 41

Lost Property

Passengers should report lost items promptly.

GoSupa may facilitate communication with the relevant Driver but cannot guarantee recovery of an item.

Reasonable arrangements may be made for return of recovered property.

Clause 42

Investigations

GoSupa may review relevant account, trip, payment, GPS, communication and safety information when investigating a legitimate complaint, subject to applicable law.

Part XIISuspension and Termination
Clause 43

Account Restriction

GoSupa may temporarily restrict or suspend a Passenger account where reasonably necessary to investigate:

  • fraud;
  • violence;
  • harassment;
  • serious safety complaints;
  • repeated non-payment;
  • unauthorised account access;
  • material breach of these Terms; or
  • unlawful activity.
Clause 44

Termination

GoSupa may terminate access for serious or repeated violations, subject to applicable law and any appropriate review process.

Part XIIILiability and Responsibility
Clause 45

Reasonable Care

Nothing in these Terms is intended to exclude a right or responsibility that cannot lawfully be excluded.

GoSupa shall operate its platform with reasonable care consistent with applicable legal obligations.

Clause 46

Third-Party Services

Certain services may depend on telecommunications operators, banks, payment service providers, insurers, mapping providers or other third parties.

Their respective products and services may be governed by additional terms.

Clause 47

Insurance

Where insurance applies to a ride, vehicle, Driver or Passenger, coverage is subject to the relevant policy terms, eligibility requirements, limits and exclusions.

Nothing displayed in GoSupa should be interpreted as expanding an insurer's contractual liability beyond the applicable insurance policy.

Part XIVChanges to the Service
Clause 48

Changes to Terms

GoSupa may update these Terms to reflect:

  • legal or regulatory changes;
  • new services;
  • safety requirements;
  • technology changes;
  • payment changes; or
  • operational requirements.

Where a change materially affects Passenger rights or obligations, GoSupa will provide appropriate notice where required.

Part XVGoverning Law
Clause 49

Laws of the Country of Operation

These Terms shall be governed by the applicable laws of the country in which the GoSupa Ride service is provided (the “Country of Operation”).

Nothing in these Terms limits statutory consumer, privacy or other rights that cannot lawfully be waived.

Clause 50

Regulatory Compliance

GoSupa, Drivers and Passengers must comply with applicable transport, road-safety, payment, consumer-protection, privacy and other legal requirements in the Country of Operation.

Part XVIAcceptance
Acceptance

Agreeing to These Terms

By selecting:

or by requesting and using GoSupa Ride after being presented with these Terms, the Passenger acknowledges that they have had an opportunity to read and agree to the applicable Passenger Terms and GoSupa Privacy Statement.

The Passenger may access the current version of these documents through the GoSupa application or other designated GoSupa channel.
